Terms of Service

1. Acceptance of Terms

By accessing or using Frnly (available at frnly.io, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, clients (people making bookings), and service providers (operators who set up a Frnly booking page).

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

2. Description of Service

Frnly is a booking platform that enables independent service providers — including massage therapists, hair stylists, nail technicians, barbers, and estheticians — to accept appointments online. The Service includes a provider-branded booking page, calendar management, automated confirmation and reminder messaging, and a client-facing appointment portal.

Frnly does not employ the service providers who use the platform, nor does it control the quality, safety, or legality of the services those providers offer. Any booking you make is a direct agreement between you and the provider.

3. Accounts and Registration

Service providers must create an account to use the operator features of Frnly. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@frnly.io if you suspect unauthorized access.

Clients may optionally create an account to manage bookings across multiple providers. An account is never required to make a booking.

You must provide accurate information when creating an account or making a booking. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.

4. Bookings and Cancellations

Appointments booked through Frnly are subject to the cancellation and rescheduling policies set by the individual service provider. Frnly is not responsible for refund decisions or disputes between clients and providers. We encourage providers to publish clear policies on their booking page.

Frnly reserves the right to cancel or modify bookings in cases of system error, fraud prevention, or other extraordinary circumstances, with notice to affected parties wherever practicable.

5. Messaging and Communications

By providing a phone number and checking the consent checkbox when making a booking, you expressly consent to receive transactional SMS/text messages from Frnly on behalf of the service provider you are booking. These messages may include appointment confirmations, reminders, and rescheduling or cancellation notices.

Message frequency varies depending on your appointment schedule. Message and data rates may apply. Reply STOP at any time to opt out of text messages. Reply HELP for assistance. Opting out will not affect bookings already confirmed, but you will stop receiving reminders for future appointments.

6. User Responsibilities

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulations.
  • Impersonate any person or entity, or falsely claim an affiliation with any person or entity.
  • Post or transmit any content that is harmful, abusive, defamatory, or otherwise objectionable.
  • Attempt to gain unauthorized access to any part of the Service or its underlying systems.
  • Use automated means (bots, scrapers, etc.) to interact with the Service without prior written consent.
  • Interfere with or disrupt the integrity or performance of the Service.

Service providers are additionally responsible for ensuring their business practices, services, and any content they publish on their Frnly page comply with all applicable laws and professional regulations.

7. Intellectual Property

All rights, title, and interest in and to the Frnly platform, including its design, software, trademarks, and content created by Frnly, remain exclusively with Frnly. Nothing in these Terms grants you any ownership rights in the Service.

Content you upload or create through the Service (such as service descriptions, provider photos, or site copy) remains yours. By submitting it, you grant Frnly a limited, non-exclusive license to display and deliver that content as part of operating the platform on your behalf.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read it carefully to understand how we collect, use, and protect your information.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. Frnly does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not warrant the quality, suitability, or safety of services booked through the platform — that responsibility rests with the individual provider.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Frnly and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising out of or related to your use of the Service. In no event shall Frnly's total liability to you for all claims exceed the greater of one hundred US dollars ($100) or the amounts paid by you to Frnly in the twelve months preceding the claim.

Some jurisdictions do not allow certain limitations of liability, so the above may not apply to you in full.

11. Indemnification

You agree to indemnify, defend, and hold harmless Frnly and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the Service shall first be submitted to good-faith negotiation. If unresolved, disputes shall be handled through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action lawsuit.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

13. Termination

Frnly may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our discretion. You may stop using the Service at any time; provider accounts may be closed by contacting support@frnly.io.

14. Changes to These Terms

We may revise these Terms at any time by posting an updated version at frnly.io/terms. We will make reasonable efforts to notify registered users of material changes via email or an in-product notice. Your continued use of the Service after the effective date of any revision constitutes your acceptance of the updated Terms.
